Corporate Profile

Abacus Capital & Investment Corporation (ACIC or the Company) is a local independent investment bank focused on the Philippine equities market, engaging in public and private transactions.

ACIC was incorporated and licensed under the Philippine laws on January 6, 1995, with the primary purpose of engaging in investment banking activities. The Company started commercial operations in 1995 when it obtained its Investment House license from the Securities and Exchange Commission (SEC). The Company currently has capital resources of about ₱800 million.

ACIC represents the culminating objective of a group of Filipino businessmen and entrepreneurs to further their presence in the Philippine capital markets after years of success in the stock brokerage business.

ACIC effectively became a wholly-owned subsidiary of a publicly-listed company, First Abacus Financial Holdings, Inc. (FAF or the Parent Company), after a structural reorganization of its predecessor firm, Seven Seas Oil Exploration, Inc., was completed in the fourth quarter of 1995. In February 1996, the Parent Company formally changed its name to First Abacus Financial Holdings, Inc. under the ticker FAF on the local bourse, The Philippine Stock Exchange, Inc. (PSE).

Organization

At present, ACIC is essentially comprised of two (2) key business segments: Corporate Finance and Treasury. The Corporate Finance team handles all financial advisory, underwriting, and investment banking-related activities of the Abacus Group. The Treasury team handles the origination, dealership, trading, and distribution of fixed income securities of the Company and the Group. Another product handled by Treasury is the operation of the Group’s Share Margin Financing business as a way of bolstering trading volume and in support of the trading activities of clients of Abacus Securities Corporation.

Paulino S. Soo

President

Mr. Soo oversees all activities of the Corporate Finance team and provides key business contacts for investment banking deals. He was previously connected with the Investment Banking Group of Citibank N. A.’s Manila and Hong Kong offices where most of his investment banking skills and expertise were obtained. Mr. Soo was also the Investment Banking Group Head of Citytrust Banking Corporation, a Citibank affiliate.


Corporate Finance

Pia Francesca D. Suganob

Vice President for Corporate Finance

Ms. Suganob handles and manages the project teams involved in investment banking deals. She is primarily responsible for structuring and executing deals secured by the Company. Having been in the Company for almost two (2) decades, Ms. Suganob handled various investment banking engagements such as financial advisory, equity underwriting, and private equity placements.

Arlene V. Mendoza

Vice President for Treasury

Ms. Mendoza has 23 years of experience in the Treasury group and 30 years in the Financial Service industry. Ms. Mendoza has worked for the Company for the past 23 years.


Christine Y. Ramos

Manager

Ms. Ramos has 12 years of experience in the Treasury group and 14 years in the Financial Service industry. Ms. Ramos previously worked as a Trust Accountant Administration Assistant-Senior Supervisor at Philippine Commercial Capital Inc.

Corporate Finance

Since the start of its commercial operations, ACIC actively participated as an underwriter in a number of major initial public offerings (IPOs) such as, Pilipino Telephone Corporation, Ionics Circuits, Inc., C&P Homes, Inc., Fil-Estate Land, Inc., DMCI Holdings, Inc., Philippine National Bank’s Third Tranche Offering, and Fortune Cement Corporation, among others. During its maiden year, the Company participated in 10 out of the 16 major offerings in that year.

Financial Advisory

During the period of the Asian Financial Crisis that started in 1997, the Company was active in providing financial advisory services, such as financial restructuring, mergers and acquisitions, and private equity capital or direct investment fund-raising activities. The shift was in line with the resultant effects of the crisis on most Philippine corporations. In the field of mergers and acquisitions, ACIC has acted as adviser to either the Selling Party or the Acquiring Party.

1995 - 2005

From 1995 to 2005, ACIC served as a financial advisor in diverse transactions, including the successful acquisition of a local cement company, evaluation of an engineering college acquisition, corporate valuations for power distribution and computer hardware companies, guidance in canned food manufacturing IPO, and transaction management for a biscuit manufacturer's sale.

ACIC offered comprehensive financial advisory services to their clients from 2008 to 2010, providing assistance with acquisition transactions both domestically and internationally. The Company facilitated planned acquisitions in the food and beverage sectors in Thailand, China, and Vietnam, conducting due diligence reviews and structuring investments. Furthermore, ACIC supported the establishment of Philippine-based entities for Berjaya Corporation of Malaysia.

Treasury

The Treasury Group was established in 1997 to provide fixed income securities as alternative investment vehicles for investors. As investors pulled out from the equities market due to the falling prices around the region during the second half of 1997, the establishment of the Treasury Group was quite timely. The Treasury Group provided most of the Abacus Group’s clients with fixed income securities as alternative investment vehicles for their funds.
